2. Use of the Platform
- You must be at least 18 years old to use our platform. By using our platform, you represent that you are of legal age and have the authority to enter into these Terms.
You agree to use our platform for lawful purposes and in compliance with all applicable laws and regulations in your jurisdiction and the jurisdictions where our platform operates, including multiple provinces in Canada and various states in the United States.
3. Currency
- All prices quoted on the online platform are in local currency. For merchant in Canada, it will be Canadian. For merchant in US, it will be USD.
4. Account Registration
- To access certain features of our platform, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update your information promptly if there are any changes.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect unauthorized access to your account.
5. User Content
- You retain ownership of any content, information, or materials you submit, upload, or display on our platform ("User Content"). By posting User Content, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, reproduce, and distribute the User Content for the purposes of operating and improving our platform.
You agree not to post or transmit any User Content that is unlawful, defamatory, offensive, or infringes upon the rights of others.
6. Intellectual Property
- Our platform and its content, including but not limited to text, graphics, logos, and software, are protected by intellectual property laws and are owned or licensed by us. You agree not to reproduce, modify, or distribute any content from our platform without our prior written consent.
7. Payment Processing
- Our platform may facilitate payment processing services. By using these services, you agree to abide by the terms and conditions of our payment processor and to provide accurate payment information.
8. Limitation of Liability
- We strive to provide accurate and reliable information on our platform, but we do not guarantee its completeness, accuracy, or reliability. We are not liable for any errors, omissions, or inaccuracies in the content provided on our platform.
In no event shall Swype or its affiliates be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of our platform.
9. Indemnification
- You agree to indemnify and hold harmless Swype and its affiliates, directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of our platform or violation of these Terms.
10. Termination
- We reserve the right to terminate or suspend your access to our platform at any time without prior notice for any reason, including but not limited to violation of these Terms.
11. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the jurisdiction from which the dispute arises, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms, including but not limited to their interpretation, validity, and enforcement, shall be subject to the exclusive jurisdiction of the courts in the jurisdiction from which the dispute arises.
For example, if a user in British Columbia, Canada, has a dispute related to the Terms of Use, the exclusive jurisdiction would be the courts in British Columbia. Similarly, if a user in California, United States, has a dispute, the exclusive jurisdiction would be the courts in California.
12. Changes to Terms
- We may modify these Terms at any time by posting the updated version on our platform. Your continued use of our platform after the posting of revised Terms constitutes acceptance of the changes.
